Applicable Rate

Applicable Rate. (a) for the Portion bearing interest based upon the Base Rate, the Base Rate plus the Applicable Margin, provided, however, in no event shall the Applicable Rate for such Portion ever be less than the Minimum Rate (as herein defined), and (b) for the Portion bearing interest based upon LIBOR, LIBOR plus the Applicable Margin, provided, however, in no event shall the Applicable Rate for such Portion ever be less than the Minimum Rate.

Applicable Rate. Applicable Rate means, for any day, with respect to any ABR Loan or Eurodollar Loan, or with respect to the facility fees payable hereunder, as the case may be, the applicable rate per annum set forth below under the caption "ABR Spread", "Eurodollar Spread" or "Facility Fee Rate", as the case may be: ABRSpread EurodollarSpread Facility FeeRate 0.750% 1.750 % 0.250 %

Applicable Rate. One percent (1%) per annum

Applicable Rate. Is a per annum rate equal to the greater of either (i) the Prime Rate plus two percent (2.0%), or (ii) six percent (6.0%)

Any increase or decrease in the Applicable Rate resulting from a change in the Financial Covenant shall become effective commencing on the 5th Business Day immediately following the date a Compliance Certificate is delivered pursuant to Section 6.02(b); provided, however, that if a Compliance Certificate is not delivered when due in accordance with such Section, then, upon the request of the Required Lenders, Pricing Level 3 shall apply commencing on the 5th Business Day following the date such Compliance Certificate was required to have been delivered and shall remain in effect until the date on which such Compliance Certificate is delivered. The Applicable Rate in effect from August 29, 2011 until the 5th Business Day following Agent's receipt of a Compliance Certificate for the fiscal quarter ending September 30, 2011 shall be determined based upon Pricing Level 1. Applicable Rate. Initially 10% per annum. On the fifth anniversary of the date of original issuance of the 2008 Senior Preferred and on each fifth anniversary thereafter (each, a "Reset Date"), the Applicable Rate shall be reset to equal the greater of 10% per annum or the Reset Rate on the applicable Reset Date.

Applicable Rate. For any day, with respect to commitment fees payable hereunder, or with respect to any Eurocurrency Borrowing or ABR Borrowing, as the case may be, the applicable rate per annum set forth below under the caption "Commitment Fee Rate", "Eurocurrency Spread" or "ABR Spread", as the case may be, based upon the corporate ratings of the Borrower by S&P, Fitch and/or Moody's, respectively, applicable on such date.
