Assigned Contracts

Assigned Contracts. Means and refers to those contracts and agreements to which the Seller or McIntosh Motor Inns, Inc. ("MMI"), the Hotel's manager, is a party which relate to the maintenance or repair of the Real Property or the operation of the Hotel, each of which is set forth on Exhibit "B" attached hereto, subject to the consents required under Section 10.2.

Assigned Contracts. All Contracts listed on Schedule 2.5

Assigned Contracts. Shall mean, to the extent identified on Schedule 2.1(vi), all Contracts, whether written or oral, with the Company's vendors, suppliers or customers and any other Persons to which either the Company or the Principal is a party or to which the business of the Company is subject, including, without limitation, all customer orders and purchase orders for equipment and/or services to be rendered that are yet to be performed, fulfilled or completed and, in each case, any claim or right or any... benefit thereunder or resulting therefrom including, without limitation, any right to indemnification. Assigned Contracts. Means the agreements set forth on Schedule 1.4 hereto, which are assigned to AAT by Axys pursuant to Section 2.1(c).

Assigned Contracts. Means any and all rights under agreements by and between either or both of the Sellers and any third party to the extent relating to the Acquired Titles, including but not limited to the music and motion picture rights and rights, subsidiary rights of any nature to comic books, merchandising and strategy guides as such agreements and contracts of the Sellers, as are identified on Schedule A-4 hereto.

Assigned Contracts. Means all of the Contracts except for the Excluded Contracts.

Assigned Contracts. The contracts described on Schedule A (the "Assigned Contracts"), which are contracts of the Company, but for administrative convenience, are held in the name of Sellers.

Assigned Contracts. Means those contracts and agreements of Target listed on Schedule I, all of which are to be assigned by Target to Seller as promptly after the date hereof as is practicable.

Assigned Contracts. Capitalized terms used and not otherwise defined herein have the respective meanings ascribed thereto in the Merger Agreement. SECTION 2. ASSIGNMENT. Assigned Contracts. Means, collectively, all of the Grantors' rights and remedies under, and all moneys and claims for money due or to become due to the Borrower or any of the Grantors under those contracts set forth on Schedule VII hereto, and any other material contracts, and any and all amendments, supplements, extensions, and renewals thereof including all rights and claims of any Grantor now or hereafter existing: (i) under any insurance, indemnities, warranties, and guarantees provided for or arising out... of or in connection with any of the foregoing agreements; (ii) for any damages arising out of or for breach or default under or in connection with any of the foregoing contracts; (iii) to all other amounts from time to time paid or payable under or in connection with any of the foregoing agreements; or (iv) to exercise or enforce any and all covenants, remedies, powers and privileges thereunder.
