Average Bonus

Average Bonus. The average of the annual bonuses paid to the Executive for the three years immediately preceding the year in which the Executive's termination of employment occurs (or such shorter period during which the Executive has been employed by the Company and eligible to receive annual bonuses, or if the Executive was not employed by the Company or eligible to receive annual bonuses in any prior year, the annual bonus that is required to be paid in accordance with any contractual arrangement between... the Executive and the Company, the Parent Company or one of the Parent Company's Subsidiaries, or if none, then the annual bonus that would otherwise have been paid to the Executive for the year in which the Executive's termination of employment occurs based upon the actual achievement of applicable performance objectives).
