Award Agreement

Award Agreement. Either: (a) an agreement, either in written or electronic format, entered into by the Company and a Participant setting forth the terms and provisions applicable to an Award granted under the Plan; or (b) a statement, either in written or electronic format, issued by the Company to a Participant describing the terms and provisions of such Award, which need not be signed by the Participant

Award Agreement. A written agreement, in such form as the Committee shall determine, that evidences the terms and conditions of a Stock Award granted under the Plan

Award Agreement. An agreement entered into between the Company and the Participant evidencing the terms of this 2010 Equity Based Incentive Plan

Award Agreement. A written agreement, contract, or other instrument or document evidencing the grant of an Award in such form as the Committee determines

Award Agreement. Any written or electronic agreement, contract, or other document or instrument evidencing any Award granted by the Committee or the Board hereunder, which may, but need not, be executed or acknowledged by both the Company and the Participant

Award Agreement. Shall mean a written or electronic Award agreement between the Company and a Participant evidencing the grant of an Award under the Plan and containing the terms and conditions of such Award, as determined by the Administrator.

Award Agreement. A Cash Award Agreement, Stock Award Agreement, SAR Agreement and/or Option Agreement, which may be in written or electronic format, in such form and with such terms as may be specified by the Administrator, evidencing the terms and conditions of an individual Award. Each Award Agreement is subject to the terms and conditions of the Plan. Award Agreement. Means the agreement between the Company and a Grantee that evidences and sets out the terms and conditions of an Award.

Each Award Agreement shall be subject to the applicable terms and conditions of the Plan and any other terms and conditions (not inconsistent with the Plan) determined by the Committee.

An Award Agreement may be in the form of an agreement to be executed by both the Participant and the Company (or an authorized representative of the Company) or certificates, notices or similar instruments as approved by the Board and designated as such.
