Award

Award. Shall have the meaning ascribed to it in the Plan, and shall also include102 Options and 3(i) Options.

Award. A grant of a Stock Option, SARs, Performance Shares, Performance Units or a Senior Executive Bonus or a grant or sale of Restricted Shares, Restricted Share Units or an award contemplated by Section 10

Award. Any award under this Plan, including any Option, Stock Award, SAR, Stock Unit, Stock Bonus or other Share-based award under this Plan

Award. An incentive compensation award, granted pursuant to the Plan, which shall be designated as either an "Annual Award" or a "Long-Term Award"

Award. The agreement of the Corporation to pay additional compensation under the Plan to a Participant

Award. A specific grant of Phantom Stock Units under this Plan representing the conditional agreement of Tidewater to pay additional compensation to a given Participant

Award. "Award;" "Award Grant Date." "Award" means the Restricted Share Units with related Dividend Equivalents award granted to Grantee pursuant to the Plan and evidenced by the Award Agreement. "Award Grant Date" means the Award Grant Date set forth on page 1 of the Award Agreement and is the date as of which the Restricted Share Units and related Dividend Equivalents are authorized to be granted by the Compensation Committee or its delegate in accordance with the Plan.

Award. An amount payable to a Participant under an Annual Award or a Long-Term Award

Award. Shall mean the Target Award together with the associated Performance Goals and Performance Period as well as the Key Contributor Award.

Award. Solely for purposes of this Sub-Plan, means an Option or RSU granted pursuant to the terms and conditions of the Plan and this Sub-Plan.
