Award

Award. A cash payment

Award. Any Option, SAR, Restricted Stock, Phantom Stock, Sale Phantom Stock, Stock granted as a bonus, Performance Award, other Stock-Based Award or Annual Incentive Award, together with any related right or interest, granted to a Participant under the Plan

Award. A grant of an option to purchase Common Stock made pursuant to the terms of the Plan

Award. Shall mean any award under this Plan of any Option, SSAR, Cash Performance Award, Restricted Stock, Restricted Stock Unit, Performance Shares, Deferred Stock Unit, or Directors' Shares. With respect to Replacement Awards, the term also includes any memorandum or summary of terms that may be specified by the Committee, together with any award agreement under any Predecessor Plan that may be referred to therein.

Award. The Restricted Stock Units and, if applicable, Tax Bonuses, under and subject to the terms and conditions of an Award Agreement and the Plan

Award. The award of RSUs made to the Participant pursuant to the terms of this Agreement

Award. Any Option, SAR, Restricted Stock or Restricted Stock Unit granted pursuant to the terms of this Plan

Award. An Option, Unit Appreciation Right, Restricted Unit, Phantom Unit, Unit Award, Substitute Award, Other Unit Based Award or Cash Award granted under the Plan or Performance Awards and includes, as appropriate, any tandem DERs granted with respect to an Award (other than a Restricted Unit or Unit Award).

Award. A grant under the Plan of Options, Stock Appreciation Rights, Restricted Stock, Restricted Stock Units, Shares pursuant to Section 4(e), Performance Units or Performance Shares

Award. Any Option, SAR, Restricted Stock, Restricted Stock Unit, Stock Award, Dividend Equivalent, Cash Award, Other Security-Based Award, Performance Award, Focus LLC Award, together with any other right or interest granted to a Participant under this Plan
