Base Amount

Example Definitions of "Base Amount"
Base Amount. Means an amount equal to the Executive's Annualized Includable Compensation for the Base Period as defined in Sections 280G(d)(1) and (2) of the Code (as hereinafter defined).
Base Amount. The Executive's annualized includible compensation for income tax purposes for the Base Period, all determined pursuant to the rules prescribed in Section 280G of the Code.
Base Amount. Shall have the meaning defined in section 280G(b)(3) of the Code.
Base Amount. For purposes of this Agreement, "Base Amount" shall mean, with respect to a Change in Control, the Executive's "base amount" as determined under Section 280G of the Code and the regulations proposed thereunder.
