Example Definitions of "Block Trade"
Block Trade. Means any non-marketed underwritten offering taking the form of a block trade to a financial institution, QIB or Institutional Accredited Investor, bought deal, over-night deal or similar transaction that does not include "road show" presentations to potential investors requiring substantial marketing effort from management over multiple days, the issuance of a "comfort letter" by the Company's auditors, and the issuance of legal opinions by the Company's legal counsel
Block Trade. Any non-marketed underwritten takedown offering taking the form of a bought deal, block sale or similar transaction
Block Trade. Shall mean the disposition of Common Stock pursuant to a "block" trade or "overnight" deal. For purposes of clarity, a "block" trade or "overnight" deal means a registered securities offering in which an underwriter agrees to purchase the Common Stock at an agreed price or pricing formula without a prior marketing process.
