Bonus Amount. The Participant's target Annual Performance Bonus for the fiscal year in which the Participant's Date of Termination occurs, provided, however, that if the Participant's Qualifying Termination is on account of Good Reason pursuant to a reduction in a Participant's compensation or compensation opportunity under Section 2(k)(ii), "Bonus Amount" shall be the Participant's target Annual Performance Bonus for the prior fiscal year if higher.
