Borrower. National Investment Managers Inc. A Florida corporation 545 Metro Place South, Suite 100 Dublin, OH 43017

Borrower. Has the meaning ascribed to such term in the preamble hereto and shall include any successor to Sterling Bank or such other Person that shall assume the obligations of the borrower under the Transaction Documents.

Borrower. And "Borrowers" shall have the meanings set forth in the preamble to this Agreement and shall include each such person's successors and permitted assigns, and shall also include, without limitation, each such Borrower acting as a debtor-in-possession in any Insolvency Proceeding.
