Cause. That the Board reasonably determines that Executive engaged in: (i) fraud, misappropriation, embezzlement or willful misconduct by Executive; (ii) willful failure by Executive to perform any of his duties after a written notification by the Board which identifies such failure and permits thirty (30) days to rectify such failure; (iii) Executive being convicted of a felony, or any crime or offense involving the Company; (iv) pleading guilty or nolo contendere or being convicted of any other... criminal act, not including traffic offenses; (iv) failure to follow the lawful directions of the Board which, if curable in the judgement of the Board, is not cured within thirty (30) days after Executive's receipt of written notice of his failure to follow such lawful directions; (v) a material breach of this Agreement; which is not cured within ten (10) days after Executive's receipt of written notice of such material breach; or (vi) a determination by the Board that Executive has violated a written policy of the Company against unlawful discrimination or harassment. Cause.
