Collateral. Is collectively all property now or hereafter pledged, mortgaged, assigned, hypothecated or otherwise provided to the Lender as collateral security for the obligations evidenced by the Loan Documents, whether to secure the Note, any guaranty, this Loan Agreement, or any other instrument, indebtedness or undertaking.
Collateral. Means all of Borrower's right, title and interest in and to the following, whether now owned or existing or hereafter arising or acquired and wheresoever located: accounts, accounts receivable and other rights of Borrower to payment for goods sold or leased or for services rendered (except those evidenced by instruments or chattel paper); computer hardware and software, including but not limited to computer systems and units, drives, cables, generators, accessories and... all peripheral devices, software programs whether now owned or licensed or leased or hereafter acquired by Borrower, all firmware associated therewith, all documentation and all rights with respect to the foregoing; copyrights, registered or unregistered, now or hereafter in force throughout the world, and all applications, extensions and renewals; equipment of every type whether owned or hereafter acquired and wherever located; inventory and goods now owned or hereafter acquired held for sale or lease or to be furnished under any contract or which are raw materials, work in process or materials used or consumed in Borrower's business; licenses including all rights under or interest in any trademark or service mark license agreements with any other party, whether Borrower is licensee or licensor, together with any goodwill connection with such agreements; patents including all letters patent and applications, all patent licenses and all reissues, continuations, extensions, renewals and the like, and all proceeds of and rights associated with the foregoing; trade secrets, whether common law or statutory and all other confidential or proprietary information and know-how; trademarks and service marks now owned or existing or hereafter acquired or arising and all renewals, income, royalties and rights associated therewith; general intangibles including all rights, interests, choses in action, claims and other intangible property of Borrower of every kind and nature now owned or hereafter acquired and however and whenever arising; chattel paper, instruments and documents and all payments thereunder; and all other property now owned or hereafter acquired. Collateral. All personal property and other assets, whether now owned by or owing to, or hereafter acquired by or arising in favor of such Grantor (including under any trade names, styles or derivations thereof), and whether owned or consigned by or to, or leased from or to, such Grantor, and regardless of where located (all of which being hereinafter collectively referred to as the "Collateral"), including: (i) all Accounts; (ii) all Goods (including Inventory,... Equipment and Fixtures); (iii) all Chattel Paper, all Documents, all General Intangibles (including payment intangibles and Software), all Instruments and all Investment Property (other than equity interests in Machine and Railroad); (iv) all Deposit Accounts, of any Grantor, including all Blocked Accounts, Concentration Accounts, Disbursement Accounts, and all other bank accounts and all deposits therein; (v) all money, cash or cash equivalents of any Grantor; (vi) all Supporting Obligations and Letter-of-Credit Rights of any Grantor; 2 EXECUTION COPY (vii) Commercial Tort Claims; and (viii) to the extent not otherwise included, all Proceeds, tort claims, insurance claims and other rights to payments not otherwise included in the foregoing and products of the foregoing and all accessions to, substitutions and replacements for, and rents and profits of, each of the foregoing; provided, that notwithstanding anything herein to the contrary, in no event shall the Collateral include nor shall Agent be deemed to have been granted a security interest in, (i) Excluded Collateral, or (ii) any personal and real property, fixtures and interests of Grantor which are not assignable or are incapable of being encumbered as a matter of law, or (iii) such Grantor's rights or interests in any license, contract or agreement to which Grantor is a party or any of its rights or interests thereunder to the extent, but only to the extent, that such a grant would, under the terms of such license, contract or agreement or otherwise, result in a breach of the terms of, or constitute a default under any license, contract or agreement to which Grantor is a party; provided, upon the ineffectiveness, lapse or termination of any such provision, the Collateral shall include, and Grantor shall be deemed to have granted a security interest in, all such rights and interests as if such provision had never been in effect. In addition, the Collateral shall exclude any rights to any Intellectual Property, license agreements or software which would be rendered invalid or unenforceable by the grant of a security interest created pursuant to the terms of this Agreement, for as long as such prohibition or reason for invalidity exists. Collateral. Means collectively, the IES Collateral, the Parent Collateral, the IES/IDS/MDT Stock Collateral, the Subsidiary Stock Collateral and the MAC Stock Collateral.

Collateral. Means all assets of Borrower in which Borrower has granted or will grant a Lien to Lenders, pursuant to this Agreement or otherwise, including those assets described and defined as Collateral in Section IV.1.
