Example Definitions of "Committee"
Committee. Such committee of two or more persons as the Board shall appoint from time to time to administer the Plan. It is intended that the members of the Committee shall be 'non-employee directors' within the meaning of Rule 16b-3 and 'outside directors' within the meaning of Section 162(m); however, the mere fact that a Committee member shall fail to qualify under either of these requirements shall not invalidate any Award made by the Committee that is otherwise valid.
