Example Definitions of "Committee"
Committee. Subject to Paragraph 3(a), the Compensation and Talent Committee of the Board (or any successor committee thereof with the same or similar authority) or such other committee of the Board designated by the Board to administer this Plan and composed of two or more Directors, each of whom may be a "non-employee director" as defined in Rule 16b-3 promulgated under the Exchange Act
Committee. Shall mean the Executive Compensation Committee of the Board, its named successor, or such other persons or committee to whom the Board has delegated any authority, as may be appropriate.
Committee. Means a Committee appointed by the Board in accordance with Section 11 to administer the Plan or, if no Committee is appointed, the entire Board.
Committee. Unless the context otherwise requires, the following as they from time to time may be constituted: (i) The Compensation Committee with respect to all matters affecting any Section 16 Person. (ii) The Deferred Compensation Committee with respect to all matters affecting employees other than Section 16 Persons.
Committee. The Compensation Committee or any special committee appointed by the Board in accordance with Section 4 to administer the Plan, unless the Board, itself, administers the Plan
Committee. Means the committee appointed by the Board (pursuant to Section 3.01) to administer the Plan.
Committee. Shall mean the Executive Compensation Committee or other independent committee of the Board referred to in Section 3 hereof.
Committee. The compensation committee of the Board duly appointed to administer the Plan and having such powers as shall be specified by the Board
Committee. The Compensation Committee of the Board of Trustees of the Company
Committee. The Officers Review Committee of the Board or such other Committee of two or more directors as may be determined by the Board.
