Committee. The Board Nominating and Governance Committee

Committee. One or more committees of the Board (including any subcommittee thereof) appointed or authorized to make Awards and otherwise to administer the Plan. In the case of Awards granted to executive officers of the Company, except as otherwise permitted by the regulations at Treas. Regs. Section 1.162-27, the Committee shall be comprised solely of two or more outside directors within the meaning of Section 162(m).

Committee. Shall mean the Benefits Committee of the Company or such other committee designated by the Board of Directors.

Committee. Means a committee of one or more members of the Board (or other individuals who are not members of the Board to the extent allowed by law) appointed by the Board in accordance with Subsection 3(c) of the Plan.

Committee. Means (i) the Board, during any period in which there shall be no Compensation Committee of the Board comprised of two or more nonemployee directors or during any other period during which the Board elects to exercise the authority of the Committee, or (ii) the Compensation Committee of the Board, during all other periods

Committee. The Compensation and Personnel Committee of the Board of Directors of the Company or, if no such committee has been appointed, the Board of Directors.

Committee. The Company's Benefits Committee

Committee. A committee of one or more senior executives of the Company appointed by the Board, but in all events will include Ping Chao if he wishes to serve on the Committee. In addition to Mr. Chao, the Committee shall initially consist of Ray Bingham and Ron Kirchenbauer. Decisions of the Committee shall be taken in good faith.

Committee. The Compensation and Benefits Committee of the Company or any successor thereto unless determined otherwise by the Board of Directors

Committee. Means the Company's Compensation Committee.
