Example Definitions of "Committee"
Committee. The Board or such committee as may be appointed by the Board to administer the Plan; provided, that, unless otherwise determined by the Board, the Committee shall consist solely of two or more directors, each of whom shall be a "nonemployee director" within the meaning of Rule 16b-3(b)(3).
Committee. The Compensation Committee of the Board or a sub-committee of the Compensation Committee of the Board, if so appointed by the Compensation Committee of the Board. The Committee shall administer the Plan.
Committee. Means the Company's compensation committee (as constituted in compliance with Rule 5605(d)(2) of the Nasdaq Listing Rules) in order to comply with the exemption from the stockholder approval requirement for "inducement grants" provided under Rule 5635(c)(4) of the Nasdaq Listing Rules.
