Committee

Committee. The Committee appointed pursuant to Section 3 by the Board of Directors of Sage to administer the Plan.

Committee. Shall mean the committee or sub-committee established by the Board of Directors to administer part or all of the Plan.

Committee. Means a committee of at least two members of the Board appointed by the Board to administer the Plan and to perform the functions set forth herein _____________________ *As of July 27, 2004. and who are "non-employee directors" within the meaning of Rule 16b-3 under the Exchange Act and who are also "outside directors" within the meaning of Section 162(m) of the Code.

Committee. The Committee on Compensation and Executive Development of the Board.

Committee. Shall mean the compensation committee of the Board which shall be comprised of at least two non-employee directors or, if there is no such committee, the Board.

Committee. Means the Stock Option or Compensation Committee of the Board, whose members shall be appointed from time to time by the Board. If at any time no Committee shall be in existence, the functions of the Committee specified in this Plan shall be exercised by the Board.

Committee. Means the body administering the Plan.

Committee. Means the Committee appointed by the Board or otherwise determined in accordance with Section 4(a) of this Plan.

Committee. Shall mean the Compensation and Incentives Committee of the Holding Corp. Board or any other committee of the Holding Corp. Board performing similar functions.

Committee. Shall mean, as the case may be, the Board of Directors of the Company or a committee appointed by the Board of Directors of the Company.
