Example Definitions of "Committee"
Committee. (i) with respect to Participants who are directors or officers of the Company, the Compensation Committee of the Board, and (ii) otherwise, the Compensation Committee or the Company.

Committee. A committee of one or more members of the Board to whom authority has been delegated by the Board in accordance with Section 2(c). If no such delegation has been made, all references in the Plan (or related documents) to the Committee shall be deemed references to the Board
