Common Stock Equivalent

Common Stock Equivalent. Means any Convertible Security or warrant, option or other right to subscribe for or purchase any Additional Shares of Common Stock or any Convertible Security.

Common Stock Equivalent. Means any security or obligation which is by its terms convertible into or exercisable into shares of Common Stock, including, without limitation, any option, warrant or other subscription or purchase right with respect to Common Stock.

Common Stock Equivalent. Means an unfunded and unsecured right to receive Shares in the future that may be granted to a Director pursuant to Section 12.

Common Stock Equivalent. Means any warrant, option, subscription or purchase right with respect to shares of Common Stock, any security convertible into, exchangeable for, or otherwise entitling the holder thereof to acquire, shares of Common Stock or any warrant, option, subscription or purchase right with respect to any such convertible, exchangeable or other security.

Common Stock Equivalent. Any security or obligation which is by its terms, directly or indirectly, convertible into or exchangeable or exercisable for shares of Common Stock, including, without limitation, Preferred Stock, and any indebtedness, note, option, warrant or other subscription or purchase right with respect to Common Stock or any Common Stock Equivalent

Common Stock Equivalent. Means any securities of the Company entitling the holder thereof to acquire at any time Common Stock, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Common Stock.

Common Stock Equivalent. Means any Convertible Security or warrant, option or other right to subscribe for or purchase any Additional Shares of Common Stock or any Convertible Security or any stock appreciation right or other right to receive any payment based upon the value of the Common Stock.

Common Stock Equivalent. Means, collectively, Options and Convertible Securities.

Common Stock Equivalent. Means any means the number of shares of Common Stock that is equal to the sum of (a) all shares of Common Stock that are outstanding at the time in question, plus (b) all shares of Common Stock that are issuable upon conversion of all shares of Series A Preferred or other Convertible Securities and Rights or Options that are outstanding at the time in question.

Common Stock Equivalent. Shall mean all shares of Common Stock outstanding, and all shares of Common Stock issuable (without regard to any present restrictions on issuance) upon the conversion, exchange or exercise of all securities of the Company that are convertible, exchangeable or exercisable for Common Stock.
