Compensation Committee. Means any committee of the Board of Directors of the Company appointed to satisfy the requirements of NASDAQ Stock Market Rule 4350(c)(3), or any successor rule, or that otherwise has been delegated the power, authority and responsibility to make recommendations or decisions with respect to the compensation of executive officers of the Company.
