Example Definitions of "Competing Product"
Competing Product. Shall mean any: (i) product, equipment, device or system that has been designed, developed, manufactured, assembled, promoted, sold, supplied, distributed, resold, installed, supported, maintained, repaired, refurbished, licensed or sublicensed by or on behalf of the Company or any Affiliate of the Company at any time on or prior to this date of this Noncompetition Agreement; (ii) product, equipment, device or system that has been designed, developed, manufactured, assembled, promoted, sold,... supplied, distributed, resold, installed, supported, maintained, repaired, refurbished, licensed or sublicensed by or on behalf of Parent or any Affiliate of Parent at any time during Stockholder's Employment; or (iii) product, equipment, device or system that is substantially the same as, incorporates, is a material component or part of, is based upon, is functionally similar to or competes in any material respect with any product, equipment, device or system of the type referred to in clauses "(i)" and "(ii)" of this sentence. Competing Product. Any credit-tested or credit ready loan for the purposes of financing educational expenses, made by Program Lender to a parent borrower or student borrower pursuant to a private alternative education loan program, other than: (a) a Bank of America SC Conforming Loan; (b) any other TERI-guaranteed loan; (c) the Signature Select and Signature loan programs, but only with respect to existing educational institutions; (d) loans under tax-exempt state-funded programs; (e) any other program not... actively marketed by Program Lender or its Affiliates; or (f) any other program to which Program Lender has committed by contract prior to April 20, 2001. Competing Product. Any product or service which is sold or provided in competition with a product or service: (A) that Orion has sold or provided at any time during the twelve (12) months immediately preceding the Termination Date or (B) that was designed, developed, tested, distributed, marketed, provided or produced by Orion at any time during the twelve (12) months immediately preceding the Termination Date.
Competing Product. Any product or service which is sold or provided in competition with a product or service: (A) that Orion has sold or provided at any time during the twelve (12) twenty-four (24) months immediately preceding the Termination Date or (B) that was designed, developed, tested, distributed, marketed, provided or produced by Orion at any time during the twelve (12) twenty-four (24) months immediately preceding the Termination Date.

Competing Product. Shall mean any: (i) software, product or system that has been designed, developed, sold, distributed, marketed or licensed by or on behalf of the Company or any of its Affiliates at any time on or prior to the Effective Date; or (ii) software, product or system that is substantially the same as, is functionally similar to or competes in any material respect with any software, product or system of the type referred to in clause "(i)" of this sentence.
Competing Product. Means any standalone software program, any embedded portion of a software program, or any algorithm, formula, idea or invention (whether or not patentable) for performing analog simulation of integrated circuits and/or static transistor-level analysis of integrated circuits. Examples include (i) dynamic transistor-level and/or dynamic interconnect simulation, (ii) HDL cosimulation, (iii) electromigration analysis, (iv) power net IR drop analysis, and (v) macro-modeling of Verilog-A, Verilog-AMS... and/or VHDL-AMS, and (vi) reduced order modeling (as defined in Appendix C). For avoidance of doubt, the term "analog simulation" includes the electrical behavior of digital and mixed-signal components and the term "integrated circuits" includes analog circuits, digital circuits, mixed signal circuits, memory circuits, logic circuits, encoding circuits, decoding circuits, system-on-a-chip circuits, and any other type of integrated circuit, regardless of the size of the integrated circuit design or the process technology (e.g., 0.18 micron, 0.15 micron, 0.13 micron, 90 nanometer and 65 nanometer).
