Competing Product

Competing Product. Shall mean any: (i) product, equipment, device or system that has been designed, developed, manufactured, assembled, promoted, sold, supplied, distributed, resold, installed, supported, maintained, repaired, refurbished, licensed or sublicensed by or on behalf of the Company or any Affiliate of the Company at any time on or prior to this date of this Noncompetition Agreement; (ii) product, equipment, device or system that has been designed, developed, manufactured, assembled, promoted, sold,... supplied, distributed, resold, installed, supported, maintained, repaired, refurbished, licensed or sublicensed by or on behalf of Parent or any Affiliate of Parent at any time during Stockholder's Employment; or (iii) product, equipment, device or system that is substantially the same as, incorporates, is a material component or part of, is based upon, is functionally similar to or competes in any material respect with any product, equipment, device or system of the type referred to in clauses "(i)" and "(ii)" of this sentence. Competing Product. Shall mean any: (i) software, product or system that has been designed, developed, sold, distributed, marketed or licensed by or on behalf of the Company or any of its Affiliates at any time on or prior to the Effective Date; or (ii) software, product or system that is substantially the same as, is functionally similar to or competes in any material respect with any software, product or system of the type referred to in clause "(i)" of this sentence.

Competing Product. Means any standalone software program, any embedded portion of a software program, or any algorithm, formula, idea or invention (whether or not patentable) for performing analog simulation of integrated circuits and/or static transistor-level analysis of integrated circuits. Examples include (i) dynamic transistor-level and/or dynamic interconnect simulation, (ii) HDL cosimulation, (iii) electromigration analysis, (iv) power net IR drop analysis, and (v) macro-modeling of Verilog-A, Verilog-AMS... and/or VHDL-AMS, and (vi) reduced order modeling (as defined in Appendix C).
