Competition

Competition. By the Executive shall mean the Executive's engaging in, or otherwise directly or indirectly being employed by or acting as a consultant or lender to, or being a director, officer, employee, principal, agent, stockholder, member, owner or partner of, or permitting the Executive's name to be used in connection with the activities of any other business or organization anywhere in the United States of America which competes, directly or indirectly, with the Company in the Business; provided,... however, it shall not be a violation of Section 14.2 hereof for the Executive (i) to become the registered or beneficial owner of up to three percent (3%) of any class of the capital stock of a corporation in Competition with the Company that is registered under the Exchange Act provided that the Executive does not otherwise participate in the business of such corporation, or (ii) to engage in, or otherwise directly or indirectly be employed by or act as a consultant or lender to, or be a director, officer, employee, principal, agent, stockholder, member, owner or partner of, or permit the Executive's name to be used in connection with the activities of an individual, terrestrial radio station. Competition. A Person shall be deemed to be engaged in "Competition" if such Person, or any of such Person's subsidiaries or Affiliates is engaged in a Competing Business.

Competition. If such Person or any of such Person's subsidiaries or other Affiliates is engaged directly or indirectly in: (i) the research, discovery, development, testing, manufacturing, promotion, marketing, distribution or licensing of therapeutics that directly target any type of proteasome or any of its subcomponent parts, including, but not limited to any type of immunoproteasome, for the purpose of treatment of myeloma and/or other oncology indications or autoimmunity indications.

For purposes of this Agreement, Executive will be deemed to have engaged in "Competition" if he, without the consent of the Board, following a Change of Control and following a termination of his employment described in Section 7(b), directly or indirectly provides services relating to the enterprise application integration space (whether as an employee, consultant, agent, corporate officer, director, or otherwise) to, or participates in the financing, operation, management, or control of,... Microsoft Corporation, International Business Machine Corporation, Oracle or SAP A.G. (each, together with their successors and assigns, a "Restricted Company"), or any division, unit or affiliate of a Restricted Company involved in the enterprise application integration space (such a division, unit or affiliate, a "Restricted Division"). Notwithstanding the foregoing, nothing contained in this Section 9(d) or in Section 8(b) above shall prohibit Executive from being employed or engaged in a corporate function or senior management position (and holding commensurate equity interests) with a Restricted Company that is engaged in multiple lines of business, one of which includes a Restricted Division, so long as Executive does not provide to the Restricted Division services of a sort that differ significantly from the services he provides to the other divisions, units or affiliates for which he has responsibility within the overall organization. Competition. A Person shall be deemed to be engaged in "Competition" if: (a) such Person or any of such Person's Affiliates is engaged directly or indirectly in the design, development, manufacture, assembly, promotion, sale, supply, distribution, resale, installation, support, maintenance, repair, refurbishment, licensing, sublicensing, financing, leasing or subleasing of any Competing Product; or (b) such Person or any of such Person's Affiliates is engaged directly or indirectly in providing, performing,... marketing, or offering any Competing Core Service or a Competing Web Service. A Person shall not be deemed to be engaged in Competition if (i) such Person works in a supervisory or oversight position for a larger enterprise that offers a Competing Product, a Competing Core Service or a Competing Web Service, but such Person has no direct supervisory or oversight responsibilities with respect to such Competing Product, Competing Core Service or Competing Web Service and such Competing Product, Competing Core Service or Competing Web Service is not a material part of the operations of such enterprise, or (ii) such Person works for a larger enterprise that does offer a Competing Product, a Competing Core Service or a Competing Web Service, but such person works in a supervisory or oversight position of a subsidiary, division or branch of such enterprise that does not offer a Competing Product, a Competing Core Service or a Competing Web Service as a material part of the operations of such subsidiary, branch or division and such Person has no direct supervisory or oversight responsibilities respect to such Competing Product, Competing Core Service or Competing Web Service. Competition.
