Control Agreement

Control Agreement. The Deposit Account Control and Intercreditor Agreement dated as of the date hereof among the Bank, the Applicant and Ableco substantially in the form of Exhibit A hereto.

Control Agreement. Means the Collateral Account Control Agreement, dated as of March 25, 2011, among the Pledgors, the Collateral Agent, as pledgee, the Custodian and the Administrative Agent.

Control Agreement. Means (i) with respect to a Securities Account, an agreement relating to such Securities Account and of the type described in (A) Section 8-106(c)(2) of the Code, duly executed and delivered by the Borrower, the Secured Party and the issuer of uncertificated securities pledged pursuant to this Agreement or (B) (A) Section 8-106(d)(2) of the Code, duly executed and delivered by the Borrower, the Secured Party and the securities intermediary maintaining such Securities Account, (ii) with respect... to a Deposit Account, an agreement relating to such Deposit Account and of the type described in Section 9-104(a)(2) of the Code duly executed and delivered by the Borrower, the Secured Party and the depositary bank maintaining such Deposit Account and (iii) with respect to a Commodity Account, an agreement relating to such Commodity Account and of the type described in (A) Section 9-106(b)(2) of the Code, duly executed and delivered by the Borrower, the Secured Party and the commodity intermediary maintaining such Commodity Account. Control Agreement. Means, with respect to any Collateral consisting of investment property, an agreement evidencing that Secured Party has "control" (as defined in the UCC) of such Collateral. 1

Control Agreement. Means an agreement establishing "control" over a deposit, brokerage or other similar account in favor of the Administrative Agent (as the term "control" used in Section 9-104 of the Uniform Commercial Code) which is in form and substance acceptable to the Administrative Agent.

Control Agreement. Means that certain Control Agreement dated of even date herewith and executed by Borrower and Fifth Third Securities in favor of Lender.

Control Agreement. Means a control agreement, in form and substance satisfactory to Secured Party, executed and delivered by each relevant Grantor, Secured Party or its agent, and the applicable securities intermediary (with respect to a Securities Account) or bank (with respect to a Deposit Account).

Control Agreement. That certain Control Agreement dated as of the date hereof by and among the Pledgor, the Bank and State Street Bank and Trust Company, a Massachusetts trust company (the "CUSTODIAN").

Control Agreement. Means an agreement, in form and substance acceptable to the Bank in its sole discretion, by and among the Bank, an Institution and Pledgor, for the purpose of perfecting the security interest granted to the Bank by Pledgor herein.

Control Agreement. Has the meaning assigned to it in the Security Agreement.
