Covered Termination

Covered Termination. (i) Non-Change in Control Termination or (ii) a Change in Control Termination

Covered Termination. (a) a termination of Participant's employment due to Participant's death or Disability, or (b) following a Change in Control, either a termination of Participant's employment by the Company (or any Subsidiary) for any reason other than Cause or the termination of Participant's employment by Participant for Good Reason (which must occur within 180 days following the existence of the condition giving rise to Good Reason). Covered Termination. The termination of Participant's employment or service with the Company by the Company for other than Cause or by the Participant for Good Reason that constitutes a "separation from service" within the meaning of Section 409A of the Code and the Department of Treasury regulations and other guidance promulgated thereunder

Covered Termination. Means (i) a termination without Cause of the Executive's employment by the Company in anticipation of, in connection with, at the time of or within two years after a Change of Control or (ii) the Executive's resignation of employment with the Company for Good Reason arising in anticipation of, in connection with, at the time of or within two years after a Change of Control

Covered Termination. An Involuntary Termination Without Cause or a Constructive Termination. Termination of employment of a Participant due to death or disability shall not constitute a Covered Termination unless a voluntary termination of employment by the Participant immediately prior to the Participant's death or disability would have qualified as a Constructive Termination.

Covered Termination. (b) Covered Termination. "Covered Termination" shall mean an Involuntary Termination without Cause or a Voluntary Termination for Good Reason that constitutes the Executive's Separation from Service.
