Example Definitions of "Covered Termination"
Covered Termination. A termination of the Grantee's status as a Service Provider by reason of (i) the Grantee's death, (ii) a termination by the Company or the Partnership other than for Cause, but only if the Grantee's then current employment agreement (or employment offer letter, as applicable) with the Company and/or the Partnership contains a definition of "Cause," (iii) a termination by the Company or the Partnership due to the Grantee's disability, or (iv) a termination by the Grantee for Good Reason, but... only if the Grantee's then current employment agreement (or employment offer letter, as applicable) with the Company and/or the Partnership contains a definition of "Good Reason" and provides the Grantee with the right to terminate his or her employment for Good Reason. Covered Termination. The term "Covered Termination" means any termination of the Executive's employment where the Termination Date is any date prior to the end of the Employment Period.
Covered Termination. (e) "Covered Termination" means Executive's Involuntary Termination Without Cause or Constructive Termination at any time during the term of this Agreement.
Covered Termination. Shall mean (i) an Involuntary Termination Without Cause or (ii) a voluntary termination of employment by Executive for Good Reason, provided that in either case, the termination constitutes a Separation from Service.
