Deferred Stock. A Performance Award that is designated to be received in Deferred Stock is Common Stock received at a time in the future on a date or dates selected by the Committee. The number of shares of Deferred Stock is determined by dividing the Performance Award amount by the Fair Market Value of Common Stock as of a date to be specified by the Compensation Committee or its delegate, which date must be in the year prior to the year for which the Performance Award may be earned.
