Designee

Designee. A corporation or other entity that is employed by, under contract to, or in partnership with (i) Company, (ii) a Sublicensee, (iii) an Affiliate of Company or (iv) an Affiliate of a Sublicensee, wherein such corporation or other entity is granted the right to make, use, sell, promote, distribute, market, import, or export Products.

Designee. An individual, corporation or other appropriate entity designated by Party A to be the recipient of a Share Transfer;

Designee. Means Altium Capital Management, LP.

Designee. Means a Metricom partner approved, in writing, by Metricom.

Designee. Shall mean initially Laurus Capital Management, L.L.C., an agent of Lender acting for the benefit of Lender. Lender may from time to time designate another agent to act as Designee hereunder, upon prior written notice of such designation to Borrower and Clearing Bank.

With respect to any Person, an Affiliate or permitted assignee of such Person, including any Person authorized by Great Lakes to develop, own, and/or operate a Development, whether pursuant to a license, franchise agreement, operating agreement, or other contract, agreement or arrangement.

Lender will provide written notice from time to time to Borrower and Clearing Bank of the appointment of a Designee. Clearing Bank will require receipt of such written notice prior to recognizing a party as Designee.

Designee. Any corporation or other entity that is employed by VICAL or otherwise under contract with VICAL to make, use, sell, promote, distribute, market, import, or export Licensed Products on behalf of or in partnership or other association with VICAL.
