Distribution Agreement

Distribution Agreement. Means a written agreement between Licensee and a Distributor, signed by both parties, covering the distribution by such Distributor of any Integrated Product to End-Users, which agreement is consistent with, and no less protective of WebXpress's proprietary and intellectual property rights, than the terms of this Agreement.

Distribution Agreement. Shall mean the Distribution Agreement, substantially in the form annexed hereto as Exhibit B, to be dated the Initial Closing Date, between the Company and the Purchaser pursuant to which the products and services of each party will be made available to the other for distribution and sale in accordance with the terms thereof.

Distribution Agreement. Means either ROP Distribution Agreement or Sharps Distribution Agreement, as the case may be.

Distribution Agreement. Means as such term is defined in the Recitals to this Addendum.

Distribution Agreement. Shall have the meaning ascribed to such term in the second paragraph of this Warrant.

Distribution Agreement. Means that certain Master Distribution Agreement substantially in the form attached as Exhibit B and effective as of the First Closing Date by and between the Company and Elitech UK Limited, a private limited company organized under the laws of the United Kingdom and a subsidiary of Elitech ("Elitech UK Limited"), as such agreement may be amended, restated or replaced from time to time.

Distribution Agreement. Respective meanings provided therefor in the Distribution Agreement.

Distribution Agreement. As defined in the preamble to this Agreement.

Distribution Agreement. The Agreement and Plan of Distribution, entered into between VEC and Valero, in connection with the transactions contemplated by the Merger Agreement. "Distribution" and "Time of Distribution" shall have the meanings specified in the Distribution Agreement.
