Effective Date

Effective Date. The meaning set forth in the recitals to this Agreement

Effective Date. [ , 2015].

Effective Date. The date on which all of the conditions precedent set forth in Section 3(a) hereof have been satisfied by the Issuer or waived by UBS, in its sole and absolute discretion.

Effective Date. As of the Effective Date, each reference in the Securities Purchase Agreement to the "Company" shall mean Sunshine Bancorp and each reference to the "Preferred Shares" shall mean the Non-Cumulative Perpetual Preferred Stock, Series A of Sunshine Bancorp issued to the Secretary of the Treasury on the Effective Date.

Effective Date. Has the meaning given to such term in the Prepackaged Plan.

Effective Date. That date on which all of the conditions set forth in this Agreement have been satisfied or waived and this Agreement becomes effective

Effective Date. Shall mean, with respect to the Registration Statement, the earlier of the date which is five (5) Business Days after the date on which the Commission informs the Company (i) that the Commission will not review the Registration Statement or (ii) that the Company is permitted by the SEC to accelerate the effectiveness of the Registration Statement.

Effective Date. From and after the Effective Date, each reference in the Original Loan Agreement, this First Supplement and the Indenture to the "Agreement" shall be deemed to mean the Original Loan Agreement as amended and supplemented by this First Supplement and as the same may be further amended, modified or supplemented in accordance with the terms thereof.

Effective Date. The date on which the first public filing in connection with an initial public offering of the Company is made.

Effective Date. Means the effective date of this agreement, which is May 15, 2015.
