Effective Time

Effective Time. Means the time at which the Commission declares the Shelf Registration Statement effective or at which the Shelf Registration Statement otherwise becomes effective (or, if previously effective, designated).

Effective Time. Shall have the same meaning as in the Agreement of Merger and Plan of Reorganization, dated as of the date hereof, among the Company, Wireless Acquisition Holdings Corp. and H2Diesel, Inc.

Effective Time. Means the time as of which the Merger becomes effective, which shall, in any case, occur at 11:58 p.m. on the calendar day immediately preceding the Closing Date.

Effective Time. Shall mean the time and date of sale and delivery of the shares of Common Stock by the Company pursuant to Section 2(b) of the Purchase Agreement.

Effective Time. Means the date of adoption of the Plan by the Company's Board, June 22, 2010.

Effective Time. Has the meaning specified in the second recital of this Agreement.

Effective Time. Means the time at which Barclays Bank PLC in its capacity agent in respect of the Beneficiary Security Documents (as defined in the Original Barclays Intercreditor Deed) confirms to Barclays Bank PLC in its capacity as security trustee in respect of such Beneficiary Security Documents, that the Final Discharge Date (as defined in the Original Barclays Intercreditor Deed) has occurred;

Effective Time. Means the time at which the Commission declares the Shelf Registration Statement required by Section 2(a)(i) effective or at which the Shelf Registration Statement otherwise becomes effective.

Effective Time. Shall mean the time at which Genzyme receives the full amount of the Payment in the account designated in Section 4 hereof.
