Effectiveness Period

Effectiveness Period. Effectiveness Period. Means, for any Registration Statement, the date which is the earlier of (i) five years after the Effective Date for such Registration Statement, (ii) such time as all of the Registrable Securities covered by such Registration Statement have been publicly sold by the Holders, or (iii) such time as all of the Registrable Securities covered by such Registration Statement may be sold pursuant to Rule 144(k).

Effectiveness Period. Shall have the meaning given to such term in the Registration Rights Agreement.
