Eligible Compensation. For an Offering Period shall mean, unless otherwise determined by the Committee, (i) base salary received during such Offering Period by a Participant for services to the Employer, (ii) commissions or commission income received during such Offering Period by a Participant and (iii) other variable compensation as determined by the Committee. For the avoidance of doubt, Eligible Compensation shall not include overtime, severance pay, hiring and relocation bonuses, pay in lieu of vacation, sick... leave or any other form of compensation that may be paid from time to time to the Participant from the Employer. Eligible Compensation. With respect to an Eligible Employee, the cash compensation paid to the Eligible Employee by the Company, the Employer or an Affiliate thereof as either (i) base salary, (ii) straight time hourly wages for forty (40) weekly hours (or such lesser number of hours as the Eligible Employee is regularly scheduled to work) or (iii) daily rate, and, in all cases, shall not include overtime pay, bonuses, commissions, reimbursements or any other amounts paid or provided to the Eligible Employee. Eligible Compensation. Shall mean and refer to the Employee's annual rate of base pay as determined from the payroll records on such date as shall be designated by the Board or the Committee for any Offering. Base pay includes gross straight time, sick pay, vacation pay or holiday pay, as the case may be, after any other payroll deductions, but excludes overtime, commissions, bonuses and other forms of variable compensation.
Eligible Compensation. Means the cash portion of the compensation you may allocate pursuant to SECAP and consists of (i) your Fiscal Year [ ] year-end discretionary bonus paid in January [ ], if any, and (ii) your monthly commission payouts generated and paid in calendar year [ ], if any.
