Eligible Employees. Each employee of the Company or an Affiliate.

Eligible Employees. Subject to the limitations set forth in Section 4(b) hereof, any individual employed by the Company or a Designated Company except (i) employees who are not employed by the Company or a Designated Company prior to the beginning of an Offering Period or prior to such other time period specified by the Committee; (ii) individuals who provide services to the Company or any of its Designated Companies as independent contractors who are reclassified as common law employees for any reason except for... federal income and employment tax purposes; and (iii) employees who reside in countries for whom such employees' participation in the Plan would result in a violation under any corporate or securities laws of such country of residence. Eligible Employees. Means those employees of Google and its Affiliates as specified in the applicable SOW who are eligible to receive the Services.
