Employee

Employee. Means an individual who is providing services as a full time or part time employee of the Company or any Subsidiary, including Officers and Directors, who is treated as an employee in the personnel records of the Company or its Subsidiary or Affiliate for the relevant period, including Officers and Directors, but shall exclude individuals who are classified by the Company or its Subsidiary as (i) (A) leased from or otherwise employed by a third party, (ii) (B) independent contractors, or (iii) (C) intermittent or temporary, even if any such classification is changed retroactively as a result of an audit, litigation or otherwise. Unless otherwise determined by the Administrator, an An Awardee shall not cease to be an Employee in the case of (A) any (i)any leave of absence approved by the Company or its Subsidiary or Affiliate, or (B) (ii) transfers between locations of the Company or between the Company and/or any Subsidiary or Affiliate. Employee. Shall mean any employee (including any officer whether or not a Director) or leased employee of the Company, or of any corporation which is then a Subsidiary, who has been designated by the Board Committee to participate in the Plan.
