Equity Interests

Equity Interests. Shall mean shares of capital stock, membership interests or other equity interests, and any option, warrant or other right entitling the holder thereof to purchase or otherwise acquire an equity interest.

Equity Interests. Means any and all shares, interests, participations or other equivalents (however designated) of capital stock of a corporation, any and all equivalent or similar ownership interests in a Person that is not a corporation and any and all warrants or options to purchase any of the foregoing.

Equity Interests. Shall have the meaning set forth in the Recitals.

Equity Interests. Includes the Initial Equity Interests and any additional shares of stock, membership interests or other Equity Interests at the time pledged to the Secured Party hereunder and the interests described in clauses (a) through (e) of §1.1 of this Agreement

Equity Interests. Means all shares, units, options, warrants, interests, participations, or other equivalents (regardless of how designated) of or in a corporation, partnership, limited liability company, or equivalent entity, whether voting or nonvoting, including general partner partnership interests, limited partner partnership interests, common stock, preferred stock, or any other equity security.

Equity Interests. Of any Person means any shares of any class or series or any securities (including debt securities) convertible into or exercisable or exchangeable for shares of any class or series of capital stock of such Person (or which are convertible into or exercisable or exchangeable for another security which is, in turn, convertible into or exercisable or exchangeable for shares of any class or series of capital stock of such Person), whether now authorized or not. 2

Equity Interests. Means, with respect to any Person, all of the capital stock of such Person and all warrants, options or other rights to acquire the capital stock of such Person, including any contribution from shareholders without any issuance of shares (but excluding any debt security that is convertible into, or exchangeable for, such capital stock).

Equity Interests. Means (i) any equity securities issued by the Company purchased or otherwise acquired by any Equityholder (including, without limitation, Convertible Securities, Series C Warrants and other rights containing phantom or other equity participation features) or (ii) any equity securities issued or issuable with respect to the securities referred to in clause (i) above by way of distribution or split or in connection with a combination of securities, 17 recapitalization, merger,... consolidation or other reorganization. For purposes of this Agreement, any party that holds any Convertible Securities of the Company, including Series C Warrants shall be deemed to be the holder of the underlying equity securities obtainable upon the conversion or exercise of such Convertible Securities including Series C Warrants in connection with the Transfer thereof or otherwise regardless of any restriction or limitation on the conversion or exercise of such Convertible Securities including Series C Warrants, such underlying equity securities shall be deemed to be in existence, and such party shall be entitled to exercise the rights of a holder of such underlying equity securities hereunder. Equity Interests. For any Person, any and all shares, interests, participations or other equivalents (however designated, and including capital appreciation rights) of the capital stock, membership interests, partnership interests or other equivalent equity ownership interests in or of such Person, and any and all warrants, rights or options to purchase or acquire any of the foregoing.
