Example Definitions of "Executive"
Executive. Has the meaning set forth in the opening paragraph of this Agreement.
Executive. Means the executives listed in Section 4 and each other executive or key employee of the Company employed in a role that has been designated by the Administrator for participation in the Plan as set forth on Exhibit A. The Administrator shall limit the class of persons designated as Participants in the Plan to a "select group of management or highly compensated employees," within the meaning of Sections 201, 301 and 401 of ERISA.
Executive. Means any individual employed by any Employer in a position having a salary grade of EX3, EX2 or EX1 (as the Corporation's salary grades are established and in existence on July 14, 1999, and adjusting as appropriate for any changes to the Corporation's system of classifying its employees by salary grades implemented subsequent to such date).
Executive. The executive named in the first paragraph of this Agreement and covered under this Agreement.
Executive. Shall mean only the individuals employed by the Company as Senior Vice Presidents or Vice Presidents. Any individual who has an individual change-in-control agreement with the Company is not eligible to participate in the Plan. For purposes of this paragraph (h), "an individual change-in-control agreement" does not include restricted stock agreements or stock option agreements with the Company that contain change-in-control provisions.
Executive. Means any person who is an executive officer of the Company on the day immediately prior to a Change in Control, including the Company's Chairman of the Board, President, Chief Executive Officer, Chief Operating Officer, Chief Financial Officer and all of the Company's Vice Presidents.
Executive. Has the meaning specified in the introductory paragraph of this Agreement. 11 "GOOD REASON" shall mean the occurrence, without Executive's prior written consent, of any one or more of the following: (vi) an action by the Company that results in a material adverse change in Executive's position (including status, offices, titles, and reporting requirements), authority, duties, or other responsibilities with the Company, and which, if curable,... has not been cured within 15 days' written notice thereof from Executive; (vii) a relocation of Executive of more than 50 miles from the place where Executive was located at the time of a Change in Control; (viii) a reduction in Executive's Base Salary; (ix) a material reduction in the benefits provided to Executive, except for across-the-board reductions of such benefits for all senior management of the Company; (x) a material breach of this Agreement by the Company; or (xi) a reduction of Executive's target bonus within 24 months of a Change in Control. Executive. Preamble
Executive. Means an individual who is actively employed by the Company on a full-time basis during the Plan Period as determined by the Compensation Committee from time to time. Executives who participate in another Teleglobe plan and are not designated as participants in the Plan by the Compensation Committee will not be eligible to receive awards under this Plan.
Executive. Shall mean John H. Wildman.
