Exercise Price

Exercise Price. The per share price of the securities sold at the Next Equity Financing.

Exercise Price. Means the exercise price of the Warrant, which will be the per share Market Value of the Common Stock as of the date of the Company's receipt of the Implementation Certification, or if a Public Market exists on the date of issuance of the Warrant, the Public Market closing price on such date.

Exercise Price. Shall have the meaning as defined in paragraph 7(b)

Exercise Price. Shall mean with respect to an Offering Period, an amount equal to the average of the closing price of the Common Stock (determined in accordance with paragraph 7(b)) for the period of five consecutive trading days ending on the last trading day of such Offering Period multiplied by 100% minus the Discount Factor

Exercise Price. The term "Exercise Price" shall have the meaning set forth in Section 2 of this Agreement.

Exercise Price. $5.77, as adjusted from time to time after the Issue Date in accordance with the terms of this Warrant

Exercise Price. The lower of (i) $6.00 per share of Common Stock, (ii) 120% of the initial public offering ("IPO") price or (iii) a valuation of the Company equal to $50 million, subject to adjustment as provided herein.

Exercise Price. With respect to the Warrant Shares that vest upon occurrence of a Vesting Event described in clause (a) or (b) of the definition of Vesting Event, $1.1893, and with respect to the Warrant Shares that vest upon occurrence of a Vesting Event described in clause (c) of the definition of Vesting Event, a dollar amount equal to the product of (i) the 30-Day VWAP as of the occurrence of the final Vesting Event described in clause (b) of the definition of Vesting Event and (ii) 0.9; provided, however... that in the event of a Change of Control Transaction under Section 12(v) prior to the occurrence of a Vesting Event described in clause (c) of the definition of Vesting Event, the Exercise Price with respect to all Warrant Shares will be $1.1893.
