Fees

Fees. Amounts payable by the Company to a Director for services as a member of the Board of Directors or a committee of the Board of Directors and any other amounts (including, without limitation, consulting fees and the like) payable by the Company to a Director who is not employed by the Company for services rendered to the Company in any capacity

Fees. The fees payable for Licensed Products sold by Licensee (including their sub-licensees and affiliates, if any), and shall be equal to thirty percent (30%) of the manufacturer's List Price for such Licensed products

Fees. The Development Fee, License Fees, Support Services Costs and any other fees, costs, charges or amounts due under this Agreement.

Fees. Section 2.4. Amendment relating to Fees. Section 2.05(a) is hereby amended by deleting "0.50% per annum" and inserting in lieu thereof "(i) 0.50% per annum, if the Unused Commitment is equal to or less than 50%, or (ii) 0.25% per annum, in the Unused Commitment is greater than 50%,".

Fees. The fees payable to a Director by the Company as an annual 'retainer' upon his or her election or reelection to the Board, but shall not include amounts paid per day in cash for extended travel at the request of and on behalf of the Board of Directors of one of the committees of the Board of Directors or any reimbursement for expenses.

Fees. All retainer, meeting and committee fees payable to a non-employee director for service on the Board of Directors for any calendar quarter from and after the Effective Date, before any reduction pursuant to this Plan

Fees. With respect to any Non-Employee Director, such fees for professional services as a director of Valmont, including, but not limited to, retainers, meeting fees, lead director fees, and committee chairman fees to the extent that the amount is otherwise includible in gross income; provided, however, $1,000 of fees for each meeting shall not be included in 'Fees' for purposes of this Plan

Fees. All compensation earned by a Non-employee Director for services rendered by him as a Non-employee Director, including any retainer or fees for participating in meetings of the Board or of any standing or special committee of the Board, other than such compensation, if any, as the Board determines shall be paid in cash.
