Filing Deadline

Filing Deadline. The 45th day after the date hereof.

Filing Deadline. Means the date that is seven (7) Business Days after the Closing Date.

Filing Deadline. Means 30 calendar days after the Closing Date.

Filing Deadline. Means the date that is the one hundred and fiftieth (150th) calendar day following the Closing Date. 1

Filing Deadline. Means no later than March 1, 2006, which is the date on which the Company will have been subject to the reporting requirements of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), for a period at least twelve calendar months and will become eligible to file a Registration Statement on Form S-3 under the Securities Act.

Filing Deadline. The date which is thirty (30) days after the completion of the offering of Notes and Warrants contemplated by the Memorandum.

Filing Deadline. Means the date that is the earliest of the following: (i) the date on which the Company files a registration statement covering any of its securities issued on or after January 1, 2006; (ii) the date on which the Company is contractually required to file a registration statement covering any of its securities (other than the Registrable Securities) issued after the Closing Date; and (iii) the date that is the sixtieth (60th) calendar day following the Closing Date.

Filing Deadline. Means, with respect to the Initial Registration Statement, the Initial Filing Deadline, and with respect to any additional Registration Statements which may be required to be filed after the Initial Registration Statement pursuant to Section 2(a), the Subsequent Filing Deadline.

Filing Deadline. Means 30 days after the date hereof.
