Governing Law

Governing Law. THIS AMENDMENT IS AND SHALL BE GOVERNED BY, AND SHALL BE CONSTRUED AND INTERPRETED IN ACCORDANCE WITH LAWS OF THE STATE OF IOWA, WITHOUT REGARD TO THE CONFLICT OF LAW PROVISIONS THEREOF.

Governing Law. Jurisdiction; Consent to Service of Process; Waiver of Jury Trial, Etc. (a) This Amendment shall be construed in accordance with and governed by the law of the State of New York. (b) SECTIONS 9.09(C), (D) AND (E) AND SECTION 9.10 OF THE CREDIT AGREEMENT ARE INCORPORATED HEREIN BY THIS REFERENCE, AS IF SUCH SECTIONS WERE SET FORTH IN FULL HEREIN.

Governing Law. Shall be governed by, and construed in accordance with, the laws of the State of Delaware without regard to its principles of conflict of laws, all rights and remedies being governed by Delaware's substantive laws.
