Governing Law

Governing Law. This Amendment shall be governed by and construed in accordance with the law of the State of Delaware regardless of the law that might otherwise govern under applicable principles of conflicts of law thereof.

Governing Law. This Supplemental Indenture shall be governed by and construed in accordance with the law of the State of New York. This Supplemental Indenture is subject to the provisions of the TIA that are required to be part of this Supplemental Indenture and shall, to the extent applicable, be governed by such provisions.

Albion, MDC Partners UK and Trapeze hereby represent and warrant that the Authorized Agent has accepted such appointment and has agreed to act as said agent for service of process, and Albion, MDC Partners UK and Trapeze agree to take any and all action, including the filing of any and all documents, that may be necessary to continue such appointment in full force and effect as aforesaid so long as the Notes remain outstanding. Albion, MDC Partners UK and Trapeze agree that the appointment of the Authorized Agent shall be irrevocable so long as any of the Notes remain outstanding or until the irrevocable appointment by Albion, MDC Partners UK and Trapeze, respectively, of a successor agent in the Borough of Manhattan, New York City as their respective authorized agent for such purpose and the acceptance of such appointment by such successor. Governing Law. THIS AMENDMENT SHALL BE A CONTRACT MADE UNDER AND GOVERNED BY THE INTERNAL LAWS OF THE STATE OF ILLINOIS APPLICABLE TO CONTRACTS MADE AND TO BE PERFORMED ENTIRELY WITHIN SUCH STATE, WITHOUT REGARD TO THE CONFLICT OF LAWS PRINCIPLES THEREOF. THE CHOICE OF LAW AND VENUE AND JURY TRIAL WAIVER SET FORTH IN SECTION 12 OF THE CREDIT AGREEMENT ARE INCORPORATED HEREIN BY REFERENCE AND SHALL APPLY IN ALL RESPECTS TO THIS AMENDMENT.
