Holder
Holder. Shall mean any person owning or having the right to acquire Registrable Securities or any transferees thereof in accordance with Section 7 hereof; provided, however, that the Series 1 Holders and the MBI Group Holders shall not be deemed to be Holders for 2 purposes of Section 3(a) or 3(b) hereof and the LRG Holders and the Strategic Investor shall not be deemed to be Holders for the purposes of Section 3(a) hereof.
