Holder

Holder. Any person owning or having the right to acquire Registrable Securities or any assignee thereof in accordance with Section 2.9 of this Agreement (provided, that Founders shall not be considered Holders for purposes of Section 2.1, 2.3 or 2.9 of this Agreement with respect to Founders' Stock).

Holder. Shall mean each Purchaser and any person that becomes a Holder under Section 18(c) of this Agreement by executing a additional signature page to this Agreement, and any transferee of Registrable Securities who pursuant to Section 14 below is entitled to registration rights hereunder.

Holder. Shall mean (i) any Series B Holder, Series C Holder or Series D Holder that holds Registrable Securities (as defined herein) and (ii) any holder of Registrable Securities to whom the registration rights conferred by this Agreement shall have been duly and validly transferred in accordance with Section 2.12 of this Agreement.

Holder. Means holder of Registrable Securities (as defined below) who is a party to this Agreement.

Holder. Means Air Products and Chemicals, Inc. ("Air Products"), or its permitted assigns.

Holder. Shall mean each purchaser of a Debenture pursuant to the Subscription Agreement and each transferee of such securities or any Registrable Securities to whom any such securities or Registrable Securities are transferred in compliance with Section 2 of this Agreement.

Holder. Means any holder of Series A Preferred Stock.

Holder. Means a holder of Registrable Securities acquired in accordance with the Stockholder's Agreement; provided that with respect to the inclusion of Registrable Securities in a Registration Statement, "Holders" shall only include those holders of Registrable Securities designated by the Purchaser.

Holder. Means, when used with respect to any Security, the record holder of such Security.

Holder. Means any Clarity Holder or Hitachi Holder.
