Holder

Holder. Means the Trustee, any successor to the Trustee appointed by the Court pursuant to a Plan of Liquidation or otherwise, any Affiliate of the DBSI Entities which is a holder of Registrable Securities, any permitted transferees of any of the foregoing, and any Person acquiring any of the Shares pursuant to the terms of the letter agreement with Roth accompanying the Lock-Up Agreement who agrees in writing to be bound by and subject to the terms and conditions of this Agreement.

Holder. Or Holders means (i) the persons set forth in Exhibit A attached hereto and (ii) any subsequent holder or holders of any of the Shares that remain as restricted securities within the meaning of Rule 144 of the Commission under the Securities Act.
