Holder

Holder. Means the "Holder" as defined above or any person who shall at the time be the registered holder of this Note.

Holder. The person or entity specified in the introductory paragraph of this Note or any transferee that is at the time the registered holder of this Note. The Holder or any transferee is an accredited investor as defined under U.S. federal securities laws, or is not a U.S. Person as such term is defined in Regulation S promulgated under the Securities Act or otherwise will qualify to allow this offering to take place as a private placement under applicable securities laws

Holder. Or Holders means the holder or holders, as the case may be, from time to time of Registrable Securities and, if other than an Investor, a Person to whom the rights hereunder have been properly assigned pursuant to Section 7 hereof.

Holder. An individual, estate or other entity that holds an Award.

Holder. The meaning given to such term in the preamble.

Holder. Any Person owning or having the right to acquire Registrable Securities or any assignee thereof in accordance with Section 2.10 of this Agreement; provided, however, that the Common Holders shall not be deemed to be Holders for purposes of Sections 2.1, 2.3, 2.11 and 4.7

Holder. The meaning ascribed to such term in the first paragraph and Section 9 of this Warrant

Holder. Purchaser and any transferee or transferees of Registrable Securities, Debentures, and/or Warrants which have not been sold to the public to whom the registration rights conferred by this Agreement have been transferred in compliance with this Agreement and the Purchase Agreement.

Holder. Means any holder of Registrable Securities who is a party to this Agreement, including pursuant to Section 4.9 hereto.

Holder. (i) each Initial Stockholder, (ii) KMSMITH, (iii) any Joining Stockholders and (iv) any Permitted Assignee of each Initial Stockholder, KMSMITH and each Joining Stockholders to whom Registrable Securities have been Transferred
