Holder

Holder. Shall mean Investor, and any other person or entity owning or having the right to acquire Registrable Securities or any permitted assignee;

Holder. Shall mean any Person that owns Registrable Securities, including such successors and assigns as acquire Registrable Securities, directly or indirectly, from such Person. For purposes of this Agreement, the Company may deem the registered holder of a Registrable Security as the Holder thereof.

Holder. A Bridge Lender or Investor and any transferee or assignee thereof to whom a Bridge Lender or Investor assigns its rights under this Agreement and who agrees to become bound by the provisions of this Agreement in accordance with Section 8 and, as required to comply with Section 9(m), the parties to the Existing Agreements to the extent necessary to avoid a breach of either such agreement.

Holder. Means Sony and any other person that owns Registrable Securities, including their respective successors and assigns who acquire Registrable Securities, directly or indirectly, from Sony or such other person, respectively. For purposes of this Agreement, the Company may deem and treat the registered holder of a Registrable Security as the Holder and absolute owner thereof, and the Company shall not be affected by any notice to the contrary.

Holder. Shall mean, as applicable, (i) the Initial Warrant Holder, (ii) any successor of the Initial Warrant Holder, or (iii) any other holder of record of this Warrant or any portion thereof to whom this Warrant or any portion thereof shall have been transferred in accordance with the provisions of Section 9 hereof.

Holder. Shall mean a holder of Series C Preferred Stock.

Holder. Means a stockholder of the Company to whom shares of Parent Common Stock are issued pursuant to the Acquisition Agreement or a transferee to whom registration rights granted under this Declaration are assigned pursuant to Section 6 of this Declaration.

Holder. Means (i) each Buyer or any of such Buyer's respective successors and assignees who acquire rights in accordance with this Agreement with respect to any Registrable Securities directly or indirectly from a Buyer or from any other Holder.

Holder. Shall mean each of the Investor and any transferee of Registrable Securities who, pursuant to Section 13 below, is entitled to registration rights hereunder.

Holder. Has the meaning ascribed to such term in the first paragraph and Section 9 of this Warrant.
