Indemnifiable Event

Indemnifiable Event. Any event, act, omission, occurrence or circumstance related to the fact that the Indemnitee is or was an officer, director, employee or agent of the Corporation, or is or was serving, in any capacity, representative or otherwise, at the request of the Corporation, with another corporation, partnership, joint venture, trust or other enterprise, including any employee benefit plan, person or entity.

Indemnifiable Event. An "Indemnifiable Event" shall be any event or occurrence related to the fact that Director is or was a director, officer, employee, agent or fiduciary of the Corporation, or is or was serving at the request of the Corporation as a director, officer, employee, trustee, agent or fiduciary of another corporation, partnership, joint venture, employee benefit plan, trust or other enterprise, or by reason of anything done or not done by Director in any such capacity.

Indemnifiable Event. Means any actual or alleged action, omission, event, or occurrence that arises out of or is related to the fact that the Indemnitee is or was serving as a member of the Board and/or an officer of the Company, or is or was serving at the request of the Company as a director, officer, employee, trustee, or agent of, or in any other capacity for, another corporation, partnership, joint venture, trust, employee benefit plan, or other enterprise.

Indemnifiable Event. Any event or occurrence that takes place either before or after the execution of this Agreement and that is related to: -1- (i) The fact that Indemnitee is or was a director, officer, employee or other agent of the Company or while a director, officer, employee or other agent of the Company is or was serving at the request of the Company as a director, officer, employee or other agent of Weifang Fuhua Entertainment Garden Co., Ltd.... (also known as Weifang Fuhua Amusement Park Co., Ltd.), a sino-foreign equity joint venture of the People's Republic of China, or of another foreign or domestic corporation, partnership, limited liability company, employee benefit plan, trust or other enterprise, or was a director, officer, employee or other agent of a foreign or domestic corporation or other enterprise that was a predecessor of the Company or of another enterprise at the request of such predecessor; or (ii) Anything done or not done by Indemnitee in any such capacity, whether or not the basis of the proceeding is an alleged action in an official capacity as a director, officer, employee or other agent, or in any other capacity while serving as a director, officer, employee or other agent of the Company, as described in this Section 1(c). Indemnifiable Event. (i) any event or occurrence that takes place either prior to or after the execution of this Agreement, related to the fact that Indemnitee is or was a director, officer, secretary or employee of Covidien plc, or while a director or secretary of Covidien plc is or was serving at the request of Covidien plc as a director, officer, secretary, employee, trustee, agent, or fiduciary of another foreign or domestic corporation, partnership, limited liability company, joint venture, employee benefit... plan, trust, or other Enterprise, or related to anything done or not done by Indemnitee in any such capacity, whether or not the basis of the Proceeding is alleged action in an official capacity as a director, officer, secretary, employee, trustee, agent, or fiduciary or in any other capacity while serving as a director, officer, secretary, employee, trustee, agent, or fiduciary, (ii) any event or fact related to the fact that Indemnitee is or was a director, officer, employee, trustee, agent, or fiduciary of Covidien Ltd. or another foreign or domestic corporation, partnership, limited liability company, joint venture, employee benefit plan, trust, or other Enterprise and that related to the subject matter of the investigations referred to in Covidien Ltd.'s Form 10 as filed on June 8, 2007 or any other investigation (whether or not Covidien Ltd. is or was a target of such investigation) by any government entity covering subject matter that is substantially similar to the subject matter of, or arises out of, the foregoing investigations or (iii) any event or occurrence that took place prior to the Transaction Time (as defined in the Scheme of Arrangement), related to the fact that Indemnitee was a director or officer of Covidien Ltd., or while a director or officer of Covidien Ltd. was serving at the request of Covidien Ltd. as a director, officer, employee, trustee, agent, or fiduciary of another foreign or domestic corporation, partnership, limited liability company, joint venture, employee benefit plan, trust, or other Enterprise, or was a director, officer, employee, trustee, agent, or fiduciary of a foreign or domestic corporation that was a predecessor corporation of Covidien Ltd. or another Enterprise at the request of such predecessor corporation, or related to anything done or not done by Indemnitee in any such capacity, whether or not the basis of the Proceeding is alleged action in an official capacity as a director, officer, employee, trustee, agent, or fiduciary or in any other capacity while serving as a director, officer, employee, trustee, agent, or fiduciary.
