Knowledge. Means, with respect to a Person's "knowledge," the actual knowledge of such Person and that knowledge which should have been acquired by such Person after making such due inquiry and exercising such due diligence as a prudent business Person would have made or exercised in the management of his or her business affairs, including due inquiry of those officers, directors, key employees and professional advisers (including attorneys, accountants and... consultants) of the Person and its Affiliates. 5 View More

Knowledge. As applied to the Company, means the current actual knowledge of the officers of the Company, after conducting such inquiry and investigation as would be conducted by a reasonably prudent Person seeking to determine the existence of a state of facts, including (to the extent such term is used in reference to APSG) an inquiry of officers of APSG after providing them a copy of the representation with respect to which such inquiry is being conducted. 2 1.13

Knowledge. With respect to the Sellers means, without limitation, the actual knowledge that any of the following individuals would have after reasonable inquiry for an individual in that position: the Selling Shareholders, Marshall Davis, and Cary Greenberg.
