Example Definitions of "Knowledge"
Knowledge. Means the actual knowledge of the officers and directors of the Company, provided that such persons shall have made due and diligent inquiry of all relevant employees of the Company whom such executive officers and directors should reasonably believe would have actual knowledge of the matters represented.
Knowledge. Means actual knowledge of a fact or other matter following the exercise of a reasonable inquiry and investigation with respect to such fact or other matter.
Knowledge. Shall mean with respect to a natural person, the actual knowledge of such person after reasonable inquiry, and with respect to a person that is an entity, the actual knowledge of such entity's officers with principal responsibility for the entity's operations after reasonable inquiry.
