Knowledge

Knowledge. Means the actual knowledge of the officers and directors of the Company, provided that such persons shall have made due and diligent inquiry of all relevant employees of the Company whom such executive officers and directors should reasonably believe would have actual knowledge of the matters represented.

Knowledge. Means actual knowledge of a fact or other matter following the exercise of a reasonable inquiry and investigation with respect to such fact or other matter.

Knowledge. Shall mean with respect to a natural person, the actual knowledge of such person after reasonable inquiry, and with respect to a person that is an entity, the actual knowledge of such entity's officers with principal responsibility for the entity's operations after reasonable inquiry.

Knowledge. Of any Seller Entity means (i) facts or matters actually known by the applicable Principals holding equity interests in such Seller Entity, and (ii) facts or matters that such Principals should know or could be reasonably expected to discover following a reasonable inquiry with respect to such matter.

Knowledge. Of Seller or the Members means facts or matters actually known by one or more Members; Knowledge of Purchaser means facts or matters actually known by one or more executive officers or directors of Purchaser or Parent.

Knowledge. Shall mean, with respect to a particular fact or matter, that the applicable party is actually aware of that fact or matter, or that such party could be expected to discover or otherwise become aware of that fact or matter in reasonable conduct of its business; provided that a party shall be deemed to have knowledge of (i) any matters set forth in written correspondence or notices addressed to such party and (ii) any matters contained in the files of such party.

Knowledge. Of the Company or any similar phrase means the current actual knowledge of the following persons: Philip Moyer, John Ferrara, Stefan Chopin, Sue Childs and Lauren Zinman.

Knowledge. Means, with respect to references to Aurora's Knowledge, the actual knowledge of the officers of Aurora who are responsible for the day-to-day management of the Bank Loans or, with respect to references to CCPC's Knowledge, the actual knowledge of the officers of CCPC who are responsible for the day-to-day management of the REIT Loans.

Knowledge. Means the actual knowledge of Owners, Sellers or Sellers' officers and directors, after reasonable inquiry.

Knowledge. With respect to any Person shall mean the actual knowledge of the Person, including the actual knowledge of any of the executive officers, directors, managers, partners or members of such Person.
