Knowledge. When used to qualify a statement with respect to the knowledge of any Person other than the Company means the following: (a) if the Person is an individual, that such individual is actually aware or reasonably should be aware, after due inquiry, by virtue of such person's office, of such fact or other matter; and (b) if the Person is an entity, the actual knowledge of that entity's executive officers, after reasonable inquiry of the employees of such entity (if any) who: (a) report to such... executive officers in the scope of their employment; and (b) are responsible for the information that is the subject of the applicable representation or warranty. Knowledge. Or any other similar knowledge qualification of a Person, means actual or constructive knowledge, after reasonable inquiry and investigation, of such Person (or if such Person is not an individual, the actual knowledge of any manager, director or officer of such Person).
